Terms of Service

1. Acceptance

By accessing or using Asia Pathway (the "Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform.

2. Our Services and Role

Asia Pathway is a study-abroad information, matching, and referral service. We connect students with programs, universities, and partner schools in South Korea, Japan, Taiwan, China, and elsewhere. We do not operate the universities, do not issue visas, and are not a government agency or an educational institution.

3. Eligibility

You must be at least 13 years old to use the Platform. If you are under 18, you confirm you have obtained consent from a parent or legal guardian.

4. Accounts and Accuracy

You are responsible for maintaining the confidentiality of your account and for the accuracy of the information you provide. You agree to keep your information current and to notify us of any unauthorized use.

5. Affiliate Links and Commissions

We may earn commissions from partner schools and from affiliate links when you purchase third-party services (housing, insurance, flights, and similar). Affiliate relationships never affect the accuracy of the information we publish. We are not a party to any contract you enter with a third party through an affiliate link.

6. Payments and Fees

Payments are processed through Stripe. By making a payment, you agree to Stripe's terms of service. All fees are stated in USD unless otherwise indicated. Charges for extra services you explicitly request are final and non-refundable as set out in our Refund Policy.

7. User Content and License

By uploading documents or submitting applications, you grant us a limited license to process, store, and transmit that content to provide our services. You retain ownership of your content.

8. Acceptable Use

You agree not to misuse the Platform. Specifically, you will not:

• Use the Platform for any illegal or unauthorized purpose.
• Submit false, misleading, or fraudulent information.
• Attempt to gain unauthorized access to any system, account, or data.
• Disrupt, overload, or interfere with the Platform or its servers.
• Scrape, harvest, or collect data from the Platform without authorization.
• Upload content that infringes intellectual property rights or contains malicious code.

9. Intellectual Property

The Platform's design, code, content, branding, and trademarks are owned by Asia Pathway or its licensors and are protected by intellectual property laws. You may not reproduce or distribute them without permission.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that program information, prices, dates, or visa requirements are always current or accurate, and we do not guarantee that any application will be accepted.

11. Limitation of Liability

To the fullest extent permitted by law, Asia Pathway and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Platform. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or USD 100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Asia Pathway and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Platform for violation of these Terms, without prior notice. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination will survive.

14. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall first be resolved through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be resolved by binding arbitration conducted in accordance with the rules of a recognized arbitration institution selected by agreement of the parties. You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. If you are a consumer in the European Economic Area, the United Kingdom, or Brazil, mandatory provisions of the law of your country of residence still apply.

16. Export Compliance

You agree to comply with all applicable export control and sanctions laws and regulations. You may not use the Platform if you are located in a country subject to a U.S. government embargo or are on any restricted-party list.

17. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, network or power failures, or third-party service disruptions.

18. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.

19. Changes to These Terms

We may modify these Terms from time to time. Material changes will be announced on the Platform or by email. Continued use of the Platform after changes constitutes acceptance.
